Terms of Service

1. Overview & Acceptance

Welcome to Choco Package Co., Ltd. ("we," "us," or "our"). We specialize in low-MOQ sustainable custom packaging for DTC and growing brands. By submitting a purchase order, paying a deposit, or approving a digital proof/sample, you ("Client") agree to be bound by these Terms of Service. These terms apply to all custom manufacturing services, including OEM/ODM design, prototyping, and mass production.

2. Custom Nature of Goods

No Stock Items: We are a custom manufacturer. We do not hold inventory of standard boxes or pouches. Every order is manufactured specifically to your specifications (size, material, print, finish).

MOQ Policy: Our standard Minimum Order Quantity (MOQ) is 500-1,000 pieces per SKU, depending on the complexity of the structure and material. Requests below this threshold may be subject to surcharges or declined at our discretion.

3. Orders & Payment Terms

• Quotations: Quotes are valid for 30 days and are subject to change based on raw material cost fluctuations.
• Deposit: A non-refundable deposit of 30%-50% is required to commence production (including tooling/mold creation).
• Balance: The remaining balance is due prior to shipment (Ex-Works) or upon release of the Bill of Lading (FOB), as specified in your invoice.
• Currency: All payments shall be made in USD via T/T (Bank Transfer) unless otherwise agreed in writing.

4. Design, Proofing & Sampling

To ensure your unboxing experience is perfect, we follow a strict approval process:

1. Digital Proofs: Client is responsible for verifying all spelling, dimensions, and artwork orientation on digital dielines.
2. Physical Sampling: We strongly recommend a physical sample (7-15 days turnaround) before mass production. If the Client waives the physical sample, they accept full responsibility for the final outcome.
3. Color Matching: We utilize the Pantone Matching System (PMS) and CMYK standards. While we aim for a Delta E < 1 variance, slight color variations may occur between the sample (digital print) and mass production (offset/gravure print) due to substrate differences.

5. Production & Tolerances

Quantity Variance: Due to the nature of custom manufacturing, the final quantity shipped may vary by ±5%. You will be billed for the actual quantity shipped.

Dimensions: Standard manufacturing tolerance for rigid boxes and pouches is ±1-2mm.

6. Shipping & Delivery

We offer global shipping solutions including EXW, FOB, CIF, and DDP (Delivered Duty Paid).

• Lead Times: Estimated production times (typically 15-25 days after sample approval) are estimates, not guarantees. Delays caused by customs, raw material shortages, or force majeure are not grounds for cancellation.
• Risk of Loss: Unless shipping DDP, risk of loss passes to the Client once goods are tendered to the carrier. We package all goods in reinforced export cartons to minimize transit damage.

7. Quality Assurance & Claims

We take pride in our "Anti-Anxiety" packaging promise. However, if issues arise:

Inspection Period: Client must inspect goods within 7 days of receipt.

Defects: Claims for manufacturing defects (e.g., glue failure, incorrect print) must be supported by photos/videos. If the defect rate exceeds 3%, we will, at our option, reprint the defective portion or issue a credit.

Exclusions: We are not responsible for damage caused by improper storage (humidity/temperature) after delivery, or design errors approved by the Client during the proofing stage.

8. Intellectual Property

The Client warrants that they own the rights to all artwork and logos submitted. You agree to indemnify Choco Package Co., Ltd. against any copyright infringement claims regarding your custom design. We retain ownership of any structural engineering or molds developed by us unless paid for exclusively by the Client.
